About these Terms

These Terms & Conditions (“Terms”) form an agreement between you and MedPro Respiratory Care Ltd. (“MedPro,” “we,” “us,” or “our”). They govern your access to and use of the MedPro website, online store, online customer accounts, and related digital services.

By accessing or using the website, creating an account, or submitting an online order, you agree to these Terms and to the policies incorporated by reference. If you do not agree, do not use the website or submit an order.

Additional product-specific, promotional, manufacturer, prescription, warranty, or service terms may apply. Where additional terms are presented before a transaction, those terms also form part of the agreement for that transaction.

Scope of these Terms

These Terms govern website and e-commerce activities. They do not replace a clinical service agreement, prescription, patient-care document, manufacturer instruction, or professional healthcare advice.

These Terms should be read together with our Privacy Policy, Cookie Policy, Refund Policy, Returns & Warranties, Legal Disclaimer, and SMS Terms & Conditions.


Section 2

Definitions

In these Terms:

  • Account means a registered online customer account.
  • Customer means a person or organization that submits or attempts to submit an Order.
  • MedPro, we, us, or our means MedPro Respiratory Care Ltd.
  • Order means a request submitted through the Website to purchase one or more Products.
  • Product means an item displayed or offered through the online store.
  • Terms means these Terms & Conditions and the policies incorporated by reference.
  • User or you means any Website visitor, Account holder, or Customer.
  • Website means medprorespiratory.com, the MedPro online store, and related webpages or digital features operated by MedPro.

Section 3

Eligibility and authority

You may use the Website and submit an Order only if you have the legal capacity and authority required to enter into the applicable transaction.

  • If you place an Order for a business or organization, you represent that you are authorized to act for and bind that organization.
  • If you place an Order for another person, you represent that you have their permission to provide the information reasonably required to complete the transaction.
  • You must provide accurate, current, and complete information and must not impersonate another person.
  • Products must not be purchased or used for an unlawful, fraudulent, unauthorized resale, export, or prohibited purpose.

Section 4

Changes to these Terms

MedPro may update these Terms to reflect changes to the Website, online store, business practices, policies, technologies, or legal requirements. The current version will be posted on this page with an updated effective or last-updated date.

Changes apply prospectively from the stated effective date unless applicable law requires otherwise. The terms that applied when an Order was accepted will continue to govern that Order unless you and MedPro agree otherwise or a change is required by law.


Section 5

Website accounts

Certain Website features may allow or require you to create an Account. You are responsible for maintaining accurate Account information and protecting your login credentials.

  • Do not share your password or permit unauthorized access to your Account.
  • You are responsible for activity conducted through your Account unless the activity resulted from circumstances for which you are not legally responsible.
  • Notify MedPro promptly if you suspect unauthorized access, misuse, or a security issue involving your Account.
  • Keep your contact, billing, and shipping information current.
  • MedPro may suspend, restrict, or close an Account where reasonably necessary to address fraud, misuse, security concerns, legal obligations, or a material breach of these Terms.

Closing an Account does not require MedPro to delete transaction or business records that must or may lawfully be retained. Personal information is handled in accordance with the Privacy Policy.


Section 6

Acceptable use

You must use the Website lawfully and in a manner that does not interfere with its operation, security, or use by others. You must not:

  • Use the Website for unlawful, deceptive, fraudulent, or abusive activity.
  • Attempt to gain unauthorized access to an Account, system, server, database, or restricted part of the Website.
  • Introduce malware, malicious code, automated attacks, or other harmful technology.
  • Interfere with security controls, Website availability, checkout, inventory, pricing, or another user’s access.
  • Scrape, harvest, copy, or systematically extract Website content or data without authorization.
  • Use bots, automated purchasing tools, or similar systems without MedPro’s permission.
  • Submit false, misleading, incomplete, stolen, or unauthorized payment, identity, billing, delivery, or eligibility information.
  • Abuse promotions, discount codes, quantity limits, refunds, returns, or customer-support processes.
  • Infringe intellectual-property, privacy, confidentiality, or other legal rights.
  • Use the Website for unauthorized commercial resale, diversion, or export.

MedPro may investigate suspected misuse and may restrict access, refuse an Order, preserve relevant records, or take other reasonable action where permitted by law.


Section 7

Product information

MedPro seeks to present useful and reasonably accurate Product descriptions, images, specifications, compatibility information, availability, and pricing. However, Website content may occasionally be incomplete, outdated, or affected by an error.

  • Product images are illustrative and may not show actual scale, colour, packaging, accessories, or every included component.
  • Manufacturers may change specifications, packaging, manuals, components, or availability without prior notice.
  • Website availability does not guarantee that a Product is in stock or available for immediate shipment.
  • Compatibility may depend on the specific device, model, prescription, setup, or intended use.
  • You are responsible for reviewing Product information and seeking assistance where suitability or compatibility is uncertain.

MedPro may correct Product information, remove a listing, or update an error at any time, subject to its obligations for Orders already accepted.


Section 8

Health and medical information

Website content is provided for general information, education, and product-support purposes. It is not a diagnosis, treatment plan, prescription, emergency service, or substitute for individualized advice from a qualified healthcare professional.

A Product’s availability on the Website does not mean it is suitable, safe, clinically appropriate, or authorized for every person or condition. Follow your prescription, healthcare provider’s instructions, and the manufacturer’s manual and safety information.

Medical emergencies

Do not use the Website, online store, email, or a general contact form for an emergency. Contact emergency services or an appropriate healthcare professional.

Section 9

Product eligibility and documentation

Certain Products may require a valid prescription, professional recommendation, fitting, eligibility confirmation, supporting documentation, or other information before an Order can be approved or fulfilled.

  • MedPro may request documentation or clarification reasonably necessary to review an Order.
  • An Order may be delayed, modified, or declined if required documentation is missing, expired, incomplete, inconsistent, or cannot be verified.
  • A Product being displayed online does not guarantee that every Customer is eligible to purchase, receive, or use it.
  • MedPro may refuse to release a Product where doing so would conflict with law, safety requirements, professional obligations, manufacturer restrictions, or the information available to MedPro.

Do not send unnecessary sensitive information through a general contact form. MedPro will advise you of an appropriate submission method when documentation is required.


Section 10

Pricing, currency, taxes, and errors

Unless clearly stated otherwise, prices displayed on the Website are in Canadian dollars. Applicable sales taxes, shipping charges, and any other mandatory charges will be shown during checkout before you submit the Order.

  • Prices, offers, and availability may change prospectively without notice.
  • MedPro may correct typographical, pricing, tax, inventory, discount, shipping, or Product-information errors.
  • If a material error affects a submitted Order, MedPro may contact you with the corrected information before approval.
  • Where appropriate, you may approve the corrected Order or cancel the affected item or Order.
  • MedPro will not add an undisclosed mandatory charge after you submit an Order, except where a change is requested or authorized by you or required by law.

Nothing in this section limits a right or remedy available under applicable consumer-protection legislation.


Section 11

Placing an Order

Before submitting an Order, you will have an opportunity to review the available checkout information and correct input errors. You are responsible for confirming:

  • The Products, models, sizes, quantities, and selected options.
  • The billing and delivery information.
  • The available delivery method and estimated timing.
  • The displayed prices, discounts, taxes, shipping charges, and final total.
  • Any prescription, documentation, compatibility, promotion, or Product-specific requirement.

The general online-order process is:

  1. Select Products and add them to the cart.
  2. Review the cart and any applicable Product-specific terms.
  3. Enter the requested billing, delivery, contact, and payment information.
  4. Review the final Order details and total.
  5. Submit the Order as an offer to purchase.
  6. Receive an electronic acknowledgement that MedPro has received the Order.
  7. Wait for MedPro staff to review and approve or decline the Order.

Section 12

Order review and acceptance

Staff approval required

An automated acknowledgement confirms that MedPro received your Order. It does not mean that the Order has been accepted. All Orders are subject to review and approval by MedPro staff.

During review, MedPro may verify Product availability, price, taxes, payment authorization, quantity, delivery address, shipping eligibility, documentation, safety requirements, and indicators of fraud or misuse.

An Order is accepted only when MedPro sends an approval or fulfilment confirmation after staff review, or otherwise clearly confirms acceptance. Payment authorization or an automated receipt does not by itself guarantee acceptance.

MedPro may decline or cancel an Order before acceptance for a legitimate reason, including:

  • A Product is unavailable, discontinued, restricted, or affected by an inventory error.
  • A price, discount, tax, description, or Website error occurred.
  • Payment cannot be authorized or verified.
  • Fraud, misuse, resale, export, or security concerns exist.
  • A quantity limit or shipping restriction applies.
  • Required documentation, eligibility, or safety conditions are not satisfied.
  • The Order cannot reasonably be fulfilled as submitted.

If MedPro declines or cancels an Order after collecting payment, the applicable amount will be refunded to the original payment method, subject to normal processing times of the payment provider or financial institution.


Section 13

Order changes and cancellations

To request an Order change or cancellation, contact MedPro customer support as soon as possible. A request is not effective until MedPro confirms it.

MedPro cannot guarantee that an Order can be changed or cancelled after it has entered review, processing, preparation, special ordering, fulfilment, or shipment. If the Order has already shipped, the applicable Refund Policy and Returns & Warranties terms will apply.

This section does not limit a cancellation, refund, delivery, or other right that cannot lawfully be waived under applicable consumer-protection legislation.


Section 14

Payments and fraud prevention

Payment options displayed at checkout may include card payments processed through Stripe, Link by Stripe, Apple Pay, and Google Pay. Availability may depend on your device, browser, account, card issuer, and location.

  • By submitting an Order, you authorize the applicable charges shown at checkout.
  • Payment may be authorized, verified, or processed through a third-party payment provider.
  • Payment authorization does not constitute MedPro’s acceptance of the Order.
  • MedPro or its providers may perform authentication, verification, and fraud-prevention checks.
  • Additional information or verification may be requested before approval.
  • MedPro is not responsible for fees, holds, currency-conversion charges, or other amounts independently imposed by your bank, card issuer, or payment provider.
  • Refund timing may depend on the original payment method and financial institution.

Your use of a payment service may also be governed by that provider’s terms and privacy practices.


Section 15

Shipping and delivery

MedPro ships eligible online Orders to addresses within Canada. Some Products, services, addresses, remote areas, or destinations may be subject to additional restrictions, charges, carrier limitations, or longer delivery times.

  • Available shipping options, charges, and estimates will be presented during checkout where applicable.
  • Processing and delivery dates are estimates unless MedPro expressly states that a date is guaranteed.
  • You are responsible for providing a complete, accurate, and deliverable address.
  • An address-change request may not be possible after processing or shipment begins.
  • An Order may be delivered in more than one package.
  • Carrier, weather, seasonal, supply-chain, remote-location, or other events outside MedPro’s reasonable control may cause delays.
  • You may be responsible for additional costs caused by an incorrect address, refused delivery, failed delivery attempt, or unclaimed package, except where prohibited by law.

If a Product becomes unavailable or materially delayed, MedPro may contact you to discuss available options, which may include waiting for the Product, selecting an appropriate alternative, receiving available items separately, or cancelling the affected item for a refund. MedPro will not substitute a materially different Product without your agreement.

Inspect your delivery promptly. Contact MedPro as soon as possible if a package is missing, visibly damaged, contains an incorrect item, or appears incomplete. MedPro may request photographs, packaging, carrier information, or other details reasonably necessary to review the issue.

Delivery estimates and carrier limitations do not reduce any mandatory rights relating to non-delivery, delayed delivery, incorrect goods, or damaged goods under applicable law.


Section 16

Returns, refunds, and warranties

Returns, refunds, exchanges, store credits, damaged or defective Products, and warranty assistance are governed by MedPro’s Refund Policy, Returns & Warranties page, applicable Product-specific terms, and mandatory consumer rights.

  • Some Products may be non-returnable or subject to restrictions for health, hygiene, infection-control, safety, regulatory, clearance, final-sale, or special-order reasons.
  • A return request does not guarantee approval.
  • Returned Products may need to satisfy condition, packaging, timing, inspection, and authorization requirements.
  • Manufacturer warranties may have separate eligibility, documentation, repair, replacement, shipping, and exclusion rules.
  • MedPro may assist with a manufacturer warranty process but may not control the manufacturer’s decision or timeline.
  • Damaged, defective, incorrect, or missing Products should be reported promptly.

Nothing in these Terms or a related policy excludes a warranty, condition, remedy, or consumer right that cannot lawfully be excluded.


Section 17

Promotions, discount codes, and free gifts

Promotions may be subject to specific terms displayed with the offer. Those promotion-specific terms prevail over this general section to the extent of a conflict.

  • Eligibility, dates, geographic scope, participating Products, minimum purchase values, quantity limits, and exclusions may apply.
  • Promotions and discount codes cannot be combined unless the applicable offer, checkout process, or MedPro expressly permits the combination.
  • A code must be entered before the Order is submitted unless MedPro agrees otherwise.
  • Discounts generally have no cash value and are not transferable or redeemable for cash.
  • A promotion may be limited to one use per Customer, household, Account, payment method, or Order.
  • MedPro may refuse or reverse a promotion affected by fraud, abuse, technical error, ineligibility, or a material breach of the offer terms, subject to applicable law.
  • A free gift or bundled promotional item may need to be returned when the qualifying Product is returned. Where disclosed in the offer and permitted by law, the stated promotional value may be deducted from an approved refund if the item is not returned.
  • Returns may reduce an Order below a promotion’s qualifying threshold and may affect the approved refund.

MedPro may change or end a promotion prospectively, but will honour accepted Orders in accordance with the terms that applied when they were accepted, subject to error, fraud, and legal rights.


Section 18

Electronic and SMS communications

Transactional communications

By using the Website or submitting an Order, you agree that MedPro may send electronic communications reasonably required to administer the interaction, including Order acknowledgements, approval or cancellation notices, payment confirmations, shipping updates, receipts, Account and security notices, customer-support responses, warranty information, recalls, and legally required notices.

Marketing communications

Promotional email or text communications are subject to applicable consent requirements. You may use the unsubscribe or opt-out method provided in the message. Opting out of marketing does not prevent essential transactional, security, support, or legally required communications.

SMS programs

Participation in a MedPro text-messaging program is also governed by the separate SMS Terms & Conditions and the consent information presented when you enrol. Message frequency may vary, and standard message and data rates may apply.


Section 19

Intellectual property

The Website and its original text, design, layout, graphics, logos, icons, photographs, videos, downloads, databases, and other content are owned by or licensed to MedPro and are protected by applicable intellectual-property laws. Manufacturer and third-party names, trademarks, images, and materials belong to their respective owners.

MedPro grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for lawful personal or internal business purchasing purposes. No ownership right is transferred to you.

Without prior written permission, you must not copy, reproduce, republish, modify, distribute, sell, license, scrape, frame, mirror, create derivative works from, or commercially exploit protected Website content, except where applicable law expressly permits the activity.

You may link to a public Website page in a fair, lawful, and non-misleading manner that does not suggest an unauthorized affiliation or endorsement. MedPro may request removal of an inappropriate link.


Section 20

Third-party services and links

The Website may use or link to services operated by manufacturers, payment providers, delivery companies, map providers, app stores, social-media platforms, analytics providers, or other third parties.

Third-party services are governed by their own terms, privacy policies, security practices, availability, and technical requirements. MedPro does not control and is not responsible for the content, operation, security, or privacy practices of an independent third party.

A link or integration does not necessarily mean that MedPro endorses every statement, product, service, or practice of the third party. Review the applicable third-party terms before using the service or providing information.


Section 21

Website availability and changes

MedPro may maintain, update, modify, restrict, suspend, or discontinue all or part of the Website where reasonably necessary for operations, security, compliance, improvement, or business reasons.

The Website may be unavailable or function differently because of maintenance, updates, technical failures, internet or hosting issues, security events, browser or device limitations, or other circumstances. MedPro does not guarantee uninterrupted or error-free availability.

A Website change or interruption does not eliminate obligations relating to an Order already accepted or rights that cannot lawfully be excluded.


Section 22

Disclaimers

To the extent permitted by law, the Website is provided on an “as available” basis. MedPro does not guarantee that the Website will always be uninterrupted, current, complete, compatible with every device, or free from all errors or harmful components.

MedPro makes reasonable efforts to maintain useful Product and Website information, but content may rely on manufacturer or third-party information and may contain errors, omissions, or outdated details.

Website content is not individualized medical advice and does not replace a prescription, professional assessment, manufacturer instruction, or emergency service.

Any warranties or conditions that cannot legally be excluded remain in effect. Product warranties, consumer guarantees, and statutory rights are not reduced by this section.


Section 23

Limitation of liability

This section applies only to the extent permitted by applicable law. Nothing in these Terms excludes or limits liability or a right or remedy that cannot lawfully be excluded or limited.

MedPro is not responsible for a loss caused solely by your inaccurate information, unauthorized Account use that you failed to report, misuse of a Product, failure to follow a prescription or manufacturer instruction, an independent third party, or an event outside MedPro’s reasonable control, except where MedPro is legally responsible.

To the maximum extent permitted by law, MedPro will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profit, revenue, business opportunity, goodwill, or data, arising from Website use by a business user.

For consumer transactions, any limitation applies only where legally permitted and does not override mandatory rights relating to goods, delivery, refunds, misrepresentation, negligence, product safety, or consumer protection.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where it cannot be limited, personal injury or death caused by negligence, or any other liability that applicable law prohibits MedPro from excluding.


Section 24

Indemnification

To the extent permitted by law, you agree to reimburse MedPro for reasonable losses, liabilities, damages, and costs resulting directly from your fraudulent or unlawful use of the Website, intentional misconduct, unauthorized commercial exploitation of Website content, infringement of a third party’s rights, or material breach of these Terms.

This obligation does not apply to the extent a loss was caused by MedPro, an event for which you are not legally responsible, or a right that cannot lawfully be waived. MedPro will take reasonable steps to mitigate a claimed loss and will provide reasonable notice of a material claim where practicable.


Section 25

Privacy and cookies

MedPro’s collection, use, disclosure, retention, and protection of personal information through the Website and online store are described in the Privacy Policy.

The use of cookies, analytics, advertising technologies, and available preference controls is described in the Cookie Policy.

Payment, delivery, analytics, advertising, and communication providers may also maintain their own privacy policies. Do not submit passwords, complete payment-card numbers, or unnecessary sensitive health information through a general Website form.


Section 26

Governing law and consumer rights

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law rules.

However, if you are a consumer, nothing in these Terms deprives you of a mandatory protection, jurisdiction, cancellation right, delivery right, refund right, warranty, condition, or remedy available under the laws of your province or territory of residence.

Subject to any mandatory consumer right to bring a proceeding elsewhere, the courts located in British Columbia will have jurisdiction over a dispute arising from these Terms or the Website.

The parties are encouraged to contact one another and attempt to resolve a concern informally before starting a formal proceeding, without affecting a legal limitation period or urgent remedy.


Section 27

General legal provisions

Severability

If a provision of these Terms is found invalid or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.

No waiver

A failure or delay in enforcing a provision is not a waiver of the right to enforce it later.

Assignment

You may not transfer your rights or obligations under these Terms without MedPro’s consent. MedPro may transfer its rights and obligations as part of a legitimate reorganization, financing, sale, merger, or transfer of business, subject to applicable law and appropriate protection of personal information.

Entire agreement

These Terms, the policies incorporated by reference, applicable Product-specific terms, and any additional written terms accepted for a transaction form the agreement concerning Website use and the applicable online purchase.

Headings and interpretation

Headings are provided for readability. Words such as “including” mean “including without limitation.” A singular term includes the plural where the context requires.

Electronic records

Electronic communications, acknowledgements, confirmations, and records may satisfy a requirement for written communication where permitted by law.
